Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zacts LLC ("Zacts," "we," "us," or "our") governing your use of the Zacts mobile application (the "App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

Zacts is a rental property inspection documentation platform that enables:

• Photo and video documentation of property conditions
• Room-by-room checklists with condition ratings
• Timestamped, tamper-evident inspection reports
• Electronic signatures for tenants and landlords
• Secure sharing of reports between parties

Zacts provides tools for documentation purposes. We do not provide legal advice and are not a party to any lease agreement or dispute between users.

To use Zacts, you must create an account using Sign in with Apple. You agree to:

• Provide accurate and complete information
• Maintain the security of your Apple ID credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account and use the App.

By signing a report electronically, you acknowledge and agree that:

• Your electronic signature has the same legal effect as a handwritten signature
• You consent to conduct this transaction electronically
• You have the ability to access and retain a copy of the signed document
• The timestamp recorded represents the actual time of signing
• You are the person identified as the signer

Each signature is recorded with a UTC timestamp, your legal name, and a cryptographic hash to ensure document integrity.

You agree not to use Zacts to:

• Document properties you do not have legal authority to inspect
• Upload false, misleading, or fraudulent content
• Forge or misrepresent signatures
• Harass, threaten, or defame other users
• Upload content that infringes intellectual property rights
• Upload malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use the App for any illegal purpose

We reserve the right to suspend or terminate accounts that violate these terms.

Your Content

You retain ownership of all photos, videos, notes, and other content you upload to Zacts ("Your Content"). By uploading content, you grant Zacts a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service.

Zacts Content

The App, including its design, features, and documentation, is owned by Zacts LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the App.

You are solely responsible for the accuracy and completeness of inspection reports you create. Zacts provides tools to document conditions but does not verify:

• The accuracy of condition assessments
• The completeness of inspections
• The identity of signers beyond Apple ID authentication
• The legal sufficiency of reports for any particular purpose

We recommend consulting with a legal professional regarding the use of inspection reports in lease agreements or legal proceedings.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZACTS LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from disputes between tenants and landlords
• Damages arising from the accuracy or use of inspection reports
• Service interruptions, data loss, or security breaches

Our total liability for any claims arising from these Terms or your use of the App shall not exceed the amount you paid to Zacts in the 12 months preceding the claim, or $100, whichever is greater.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or freedom from viruses

Zacts does not warrant that inspection reports will be legally sufficient or admissible in any court or legal proceeding.

You agree to indemnify, defend, and hold harmless Zacts LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any dispute between you and another user
• Content you upload to the App

You may terminate your account at any time by contacting support@zacts.app.

We may suspend or terminate your account immediately, without notice, if you violate these Terms or engage in conduct we determine to be harmful to the Service or other users.

Upon termination, your right to use the App ceases immediately. We may retain your data as required by law or for legitimate business purposes, including maintaining the integrity of signed reports.

Informal Resolution

Before filing a formal dispute, you agree to contact us at support@zacts.app and attempt to resolve the dispute informally for at least 30 days.

Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules. You agree to waive any right to a jury trial or to participate in a class action.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App and updating the "Last updated" date. Your continued use of the App after changes constitutes acceptance.

If you do not agree to the updated Terms, you must stop using the App and delete your account.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zacts LLC regarding your use of the App and supersede any prior agreements.
